1. Acceptance of Terms

By creating an account, accessing, or using Portico ("the Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service.

2. Description of Service

Portico is a web-based client onboarding platform for service businesses. The Service enables you to create and manage onboarding workflows, collect information and documents from clients, obtain e-signatures, process payments, and send automated reminders.

3. Accounts

To use Portico, you must create an account with a valid email address and a secure password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

  • You must be at least 18 years old to create an account.
  • Each account is for a single person. You may not share login credentials with others. Add team members through the team management features provided by the Service.
  • You must notify us immediately if you become aware of any unauthorized use of your account.

4. Subscriptions & Billing

Portico offers a free tier and paid subscription plans. All billing is processed securely through Stripe.

  • Paid subscriptions renew automatically at the end of each billing cycle (monthly or annual) unless cancelled.
  • You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
  • No refunds are issued for partial billing periods. If you cancel mid-cycle, you retain access to paid features until the end of the period you have already paid for.
  • We may change subscription prices with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle after the notice period.

5. Your Data

You own the data you upload to or create within Portico. We host your data securely and process it solely to provide and improve the Service.

  • You may export or delete your data at any time through the Service.
  • By using Portico, you grant us a limited, non-exclusive license to host, store, and process your content solely for the purpose of operating and providing the Service to you.
  • Upon account deletion, your data will be permanently removed from our systems within 90 days, except where retention is required by law.

6. Client Data

When you use Portico to collect information, documents, signatures, or payments from your clients, you are the data controller for that client data. You are responsible for:

  • Obtaining appropriate consent from your clients before collecting their personal data through Portico.
  • Ensuring your use of client data complies with all applicable privacy laws and regulations, including GDPR, CCPA, and any other relevant legislation.
  • Providing your clients with your own privacy policy that discloses how their data is collected, used, and stored.

7. Acceptable Use

You agree not to use Portico to:

  • Violate any applicable law, regulation, or third-party rights.
  • Send unsolicited communications, spam, or phishing attempts.
  • Upload or transmit malicious code, viruses, or harmful content.
  • Scrape, crawl, or use automated means to access the Service except through our published API.
  • Resell, sublicense, or redistribute the Service without our written permission.
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
  • Attempt to gain unauthorized access to any part of the Service or its related systems.

8. Intellectual Property

The Portico name, logo, website, application code, design, and all related materials are the property of Portico and are protected by copyright and intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service.

Your content remains yours. Nothing in these terms transfers ownership of your data or content to us.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Portico and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability for any claims arising from or related to the Service is limited to the amount you paid us in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

10. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your account if you violate these Terms of Use or engage in activity that harms the Service or other users. In the event of termination for violation, no refund will be issued for any remaining subscription period.

11. Changes to These Terms

We may update these Terms of Use from time to time. We will notify you of material changes at least 30 days before they take effect, via email or a notice within the Service. Continued use of Portico after the effective date of revised terms constitutes your acceptance of those changes.
